Terms of Service

Last updated: July 19, 2026

Version: 1.0

Effective date: July 19, 2026

These Terms of Service (“Terms”) form a binding agreement between FORMPRENEUR LLC (“Formpreneur,” “we,” “us,” or “our”) and the person or entity using the Services (“you” or “Customer”).

Formpreneur is an Ohio limited liability company. Our registered and mailing address is 6545 Market Ave. North, Ste 100, North Canton, OH 44721, United States. You may contact us at [email protected] or +1 330 494 1644.

Please read these Terms carefully. By creating an account, clicking an acceptance box, placing an order, using a paid Service, using the Free Invoice Generator, or otherwise accessing the Services after being shown these Terms, you agree to them and to the incorporated Service Documents.

1. Definitions

“Account” means the Formpreneur user account through which you access the Services.

“Company” means a US limited liability company formed or managed through the Services.

“Customer Content” means information, files, signatures, logos, invoices, records, communications, and other content submitted by or for you.

“Free Invoice Generator” means the public browser-based invoice tool that can be used without purchasing a formation service.

“Managed” means the package that includes formation services and the first eligible compliance cycle described in the Managed Tax and Annual Compliance Addendum.

“Order” means a purchase accepted through a checkout or other written order summary.

“Service Documents” means these Terms and any applicable Formation Services Addendum, Registered Agent, Address, and Mail Services Addendum, Managed Tax and Annual Compliance Addendum, Refund and Cancellation Policy, Electronic Communications and E-Sign Consent, Acceptable Use Policy, Privacy Policy, Cookie Policy, and order-specific terms.

“Services” means formpreneur.com, its customer dashboard, formation services, registered-agent and address services, EIN assistance, document vault, support, tax and annual-compliance services where purchased, invoice tools, APIs, and related features.

“Starter” means the formation package without Managed tax and annual-compliance coverage.

2. Eligibility

You may use the paid Services only if all of the following are true:

  1. You are at least 18 years old and legally capable of entering a contract.
  2. You purchase the Services for a genuine business or professional purpose.
  3. You are not a US resident and are a non-US tax resident.
  4. You will be the Company’s sole natural-person owner.
  5. The Company will use the default disregarded tax classification unless Formpreneur expressly agrees otherwise in writing.
  6. You are not subject to, owned or controlled by, or acting for a person subject to applicable sanctions, trade restrictions, or legal prohibitions.
  7. Your proposed business is lawful and has a genuine commercial purpose.
  8. All information you provide is complete, current, accurate, and not misleading.

Paid formation Services are not available at launch for multi-member LLCs, entity owners, US tax residents, non-default tax elections, partnerships, corporations, nonprofits, or customers who require Form 1065 preparation. US residents may use the Free Invoice Generator but may not purchase the restricted paid formation Services.

We may request additional information, conduct manual and provider-assisted review, reject or pause an Order, or terminate access where eligibility, sanctions, fraud, security, or legal concerns arise.

3. Your authority and pre-formation responsibility

Before the proposed Company legally exists, you accept the Service Documents personally and are responsible for the Order. You represent that you are authorized to:

  • Create and manage the Account
  • Provide all submitted information
  • Select the state and package
  • Approve and sign documents
  • Authorize filings and payments; and
  • Act for the proposed Company.

After formation, the Company adopts the Service Documents for ongoing Company-specific Services. You remain responsible for obligations incurred before formation and for loss caused by false information, unauthorized action, fraud, sanctions violations, or misuse.

4. Incorporated documents and order of precedence

The Service Documents are incorporated into these Terms. If they conflict, the order of precedence is:

  1. Order-specific checkout summary and price snapshot
  2. Managed Tax and Annual Compliance Addendum, where purchased
  3. Formation Services Addendum
  4. Registered Agent, Address, and Mail Services Addendum
  5. Refund and Cancellation Policy
  6. Electronic Communications and E-Sign Consent
  7. These Terms
  8. Acceptable Use Policy; and
  9. General website descriptions and marketing copy.

A specific Order controls only for that Order. The Privacy Policy and Cookie Policy explain information practices and are not intended to reduce contractual rights stated elsewhere.

5. Acceptance and contract records

You must affirmatively accept the applicable Service Documents at account registration and again at each paid Order, renewal, or materially different add-on. We may record:

  • The versions accepted
  • Package, state, price, currency, included Services, and Order snapshot
  • Date and time
  • Account and Order identifiers
  • IP address, user agent, and authentication details; and
  • The checkbox, signature, or other affirmative acceptance event.

You agree that these records may be used to prove acceptance and transaction terms.

6. Immediate performance

Formation and compliance work can involve manual review, document preparation, government filings, and non-refundable third-party costs. At checkout, you may be asked separately to request that work begin immediately. Where mandatory law provides a cancellation right, you acknowledge that requesting immediate performance may require payment for work already performed and may reduce or end a cancellation right once the service is fully performed, to the extent permitted by law.

7. Services and package scope

Formpreneur offers the packages and supported states shown in the Formation Services Addendum and your Order. The launch supports New Mexico, Wyoming, and Florida.

The exact Services included are determined by your accepted Order. Website summaries are illustrative and do not add a Service that is absent from the Order or applicable Addendum.

Formpreneur may use independent filing, registered-agent, address, mail, payment, communications, hosting, fax, authentication, and other providers. The assigned registered-agent provider may be identified privately in your Order, dashboard, or formation documents. We do not have to disclose wholesale pricing, margins, internal provider contracts, or operational methods.

8. No professional relationship except limited purchased tax preparation

Formpreneur is not a law firm, bank, investment adviser, insurance company, immigration adviser, government agency, the IRS, or a state filing office. Using the Services does not create an attorney-client, accountant-client privilege, fiduciary, banking, investment-advisory, or government relationship.

General formation, banking, payment-processor, compliance, template, and support information is educational and administrative. It is not individualized legal, tax, investment, accounting, or immigration advice.

Where you purchase the narrow tax-return preparation service described in the Managed Tax and Annual Compliance Addendum, Formpreneur provides only that expressly stated preparation service. It does not expand into legal advice, bespoke tax planning, bookkeeping, audit representation, or any excluded filing.

You remain responsible for deciding whether to consult a licensed attorney, CPA, enrolled agent, tax adviser, accountant, or other qualified professional.

9. No recommendations or guaranteed state suitability

Formpreneur may publish factual state comparisons. We do not select the state for you, determine tax nexus, determine foreign-qualification duties, guarantee privacy, or promise that a state is the cheapest or most tax-efficient for your circumstances. You make the final state selection.

10. Customer responsibilities

You must:

  • Provide accurate and complete information by requested deadlines
  • Review all forms and documents before approval or signature
  • Notify us promptly of errors or changed facts
  • Maintain a valid email address, phone number, and secure Account
  • Keep credentials and API keys confidential
  • Cooperate with state authorities, the IRS, providers, and reasonable information requests
  • Monitor your Company’s legal, tax, licensing, banking, and compliance obligations
  • Use addresses, mail services, documents, invoice tools, and APIs lawfully
  • Keep copies of important records; and
  • Pay all agreed charges, government costs, taxes, postage, and approved exception fees.

You must not submit duplicate EIN applications, hide ownership, evade tax, mislead banks or payment processors, bypass KYC, use another person’s signature without authority, or use the Services to create a sham or unlawful Company.

11. Accounts and security

Your Account is personal to you at launch. Customer-facing team invitations, additional members, and ownership-transfer tools are not offered at launch.

You must not share credentials, publish API keys, or permit unauthorized access. You must promptly notify us of suspected compromise. We may terminate sessions, reset credentials, revoke API keys, require additional verification, or restrict access to protect the Services.

Google and X sign-in are also subject to those providers’ terms. You remain responsible for the security of the linked provider account.

12. Support

Formation support is available while we process the Order.

After the Company’s effective formation date:

  • Starter includes 12 months of standard support through email and the Formpreneur support-ticket system.
  • Managed includes 12 months of priority-queue support through email, the support-ticket system, and WhatsApp.

Priority support means queue priority; it is not a guaranteed response-time service-level agreement. No telephone or video consultations are included. WhatsApp is for general support only. Tax files, signatures, bank statements, identification information, and other sensitive documents must be submitted only through the authenticated Formpreneur website.

A paid renewal may begin another 12-month support term under the applicable renewal package.

13. Banking and payment-processor assistance

Where included, Formpreneur may provide document checklists, general application guidance, administrative help, and troubleshooting for a US business bank account or Stripe setup. You apply to the provider directly.

Formpreneur does not control KYC, underwriting, approval, limits, reserves, suspension, closure, or processing time. We do not guarantee a bank account, Stripe account, continued access, payment acceptance, financing, or a particular provider.

We do not take custody of customer funds.

14. Payments, taxes, and price changes

Prices are stated in US dollars unless otherwise shown. Checkout identifies the package, state, included standard first-year state fee, discounts, taxes, and other charges.

Stripe processes payment-card information. You authorize the charges shown in the Order. You are responsible for card-issuer, bank, currency-conversion, international-transaction, withholding, and similar charges.

Formpreneur may collect sales, VAT, or other transaction taxes where required. You remain responsible for your own business, income, franchise, payroll, sales, and other taxes.

Future prices may change, but a paid Order retains its accepted price except for customer-caused delay, changed scope, new government requirements, or separately approved variable costs. Coupons may expire, be limited, have no cash value, and be revoked for fraud, abuse, or obvious error.

We may pause work after payment failure. For an unjustified chargeback, we may suspend ongoing Services, contest the chargeback using transaction records, and recover permitted costs. We will not permanently withhold already-owned formation documents solely as punishment.

15. Renewals and subscriptions

The first-year formation purchase is a one-time payment and does not automatically enroll you in annual billing.

Before the next service year, you may choose to purchase a Starter or Managed renewal. That separate renewal checkout requires new acceptance and may offer an annual subscription. If you affirmatively enroll, subsequent renewal charges may occur annually until canceled.

We aim to send reminders approximately 60, 30, and 7 days before expiration or charging. Failure to receive a reminder does not remove your responsibility to maintain a registered agent or comply with deadlines.

You may cancel a future automatic renewal through available dashboard controls or by contacting [email protected] before the next charge. Cancellation normally takes effect at the end of the paid term. Fees already committed to a provider or government are governed by the Refund and Cancellation Policy.

If you do not renew registered-agent service, you are responsible for appointing a replacement and filing the required change before existing service ends.

16. Free Invoice Generator

The Free Invoice Generator is provided without an account and operates primarily in your browser. Drafts, logos, signatures, and invoice history may be stored in browser local storage. Formpreneur does not back up browser-local data. Clearing storage, changing browsers, using private mode, or device failure may permanently erase it.

The generator is a general tool, not legal or tax advice. You are responsible for:

  • Invoice numbering and recordkeeping
  • Tax, VAT, currency, and disclosure requirements
  • Accuracy of company, client, item, and payment information
  • Having authority to use names, logos, signatures, and client data; and
  • Determining whether the invoice complies with applicable law.

You must not create false, deceptive, fabricated, impersonating, or fraudulent invoices.

17. Account-based invoice tools and API

If Formpreneur makes account-based invoice storage, PDF generation, logos, signatures, API keys, or related tools available, you retain ownership of your Customer Content and grant Formpreneur a non-exclusive, worldwide, limited license to host, reproduce, format, render, transmit, back up, and otherwise process it only to provide, secure, support, and comply with law concerning the Services.

You represent that you have a lawful basis and all permissions needed to process invoice-recipient information and uploaded material.

API keys are confidential and may be organization- or account-scoped. We may impose limits, rate-limit traffic, rotate or revoke keys, change APIs with reasonable notice where possible, and block abusive traffic. Unless an Order expressly says otherwise, no uptime, response-time, or backward-compatibility SLA applies. Undocumented scraping and attempts to bypass limits are prohibited.

18. Customer Content and intellectual property

You retain rights in Customer Content. You are responsible for its legality, accuracy, and permissions.

Formpreneur and its licensors retain all rights in the Services, software, branding, interfaces, templates, document-generation systems, APIs, guides, designs, and non-customer-specific materials.

For Company-specific formation documents delivered to you, Formpreneur grants you a perpetual, non-exclusive license to use, copy, modify, and provide them for the Company’s legitimate internal and operational purposes. You may not resell blank templates, republish Formpreneur’s library, remove ownership notices where prohibited, or use Formpreneur materials to create a competing template or formation service.

Government-issued filings and IRS correspondence are your or the Company’s records.

You may provide feedback. We may use it without payment, provided we do not disclose your confidential information. We will not use your name, logo, testimonial, or case study in marketing without permission.

Copyright complaints may be sent to [email protected].

19. Confidentiality

Each party must protect the other party’s non-public confidential information using reasonable care and may use it only for the Services or the relationship.

Confidential information can include formation records, ownership information, signatures, mail scans, tax records, business plans, support communications, API credentials, security details, and non-public pricing or provider arrangements.

Confidentiality does not apply to information that is public without breach, independently developed, lawfully received from another source, approved for release, or required to be disclosed by law. A party may disclose confidential information to providers and professional advisers who need it and are subject to appropriate duties.

20. Acceptable use

You must comply with the Acceptable Use Policy. We may review, refuse, restrict, or suspend an activity that creates legal, sanctions, fraud, security, provider, or reputational risk.

21. Suspension and termination

We may immediately restrict or suspend access for sanctions concerns, fraud, illegal activity, false ownership information, unauthorized signatures, security threats, nonpayment, chargeback abuse, provider restrictions, abusive API traffic, government orders, serious harassment, or material breach.

For a non-urgent remediable breach, we will ordinarily provide 10 days to cure. Immediate action remains permitted where delay could cause harm or violate law.

On suspension or termination:

  • Unfinished work may stop
  • Refunds are determined under the Refund and Cancellation Policy
  • API keys may be revoked immediately
  • We may preserve legal, payment, sanctions, security, tax, and dispute records
  • Where safe and lawful, we may provide up to 30 days to export existing documents or cloud invoices; and
  • Registered-agent termination requires you to arrange a replacement.

If Formpreneur permanently discontinues a Service, we will try to provide reasonable notice, an export opportunity, and an appropriate refund of unused prepaid recurring amounts where applicable.

You may close your Account through available controls or by contacting us. Account closure does not remove records that must be retained.

22. Third-party services

Third parties control their own systems, eligibility, policies, and processing times. Formpreneur is not responsible for a third party’s independent decision, outage, rejection, suspension, or change, except to the extent caused by Formpreneur’s breach of its own obligations.

Links do not necessarily imply endorsement. Provider substitution is governed by the applicable Addendum.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FORMPRENEUR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING.

FORMPRENEUR DOES NOT GUARANTEE:

  • State filing or company-name approval
  • EIN assignment
  • A filing, IRS, or mail-processing date
  • A bank account, Stripe account, payment-processor account, or financing
  • A tax saving, tax classification, penalty waiver, or other tax outcome
  • Good standing after the applicable service term
  • Privacy or anonymity from lawful authorities
  • Continued availability of a third-party provider
  • That reminders will identify every obligation
  • That templates fit every jurisdiction or circumstance; or
  • Uninterrupted, secure, or error-free software.

Nothing in the Service Documents excludes a warranty or remedy that cannot lawfully be excluded.

24. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. FORMPRENEUR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, OR GOODWILL; OR LOSS CAUSED BY A GOVERNMENT OR PROVIDER DELAY, BANK OR PROCESSOR REJECTION, CUSTOMER-SUPPLIED ERROR, OR BROWSER-LOCAL DATA LOSS.
  2. FORMPRENEUR’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO AN AFFECTED ORDER OR SERVICE WILL NOT EXCEED THE FORMPRENEUR SERVICE FEES PAID FOR THAT AFFECTED ORDER OR SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. GOVERNMENT, STATE, POSTAGE, TAX, AND OTHER PASS-THROUGH FEES ARE EXCLUDED FROM THE CAP.
  3. FOR A FREE SERVICE, THE CAP IS ZERO TO THE EXTENT PERMITTED BY LAW.

These limitations do not apply to fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury where applicable, Formpreneur’s infringement of third-party intellectual property, or other liability that cannot legally be limited. A specific Addendum may provide an additional non-waivable remedy.

25. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Formpreneur, its affiliates, owners, officers, contractors, and providers from third-party claims and reasonable losses arising from:

  • False, incomplete, or unauthorized information
  • Lack of authority
  • Unlawful business activity
  • Unauthorized signatures
  • Fraudulent invoices or Customer Content
  • Intellectual-property infringement by Customer Content
  • Your tax, regulatory, sanctions, mailbox, or address misuse
  • Your application or API misuse; or
  • Your material breach of the Service Documents.

This does not require you to indemnify Formpreneur for Formpreneur’s own fraud, willful misconduct, gross negligence, or other non-excludable wrongdoing.

26. Force majeure

Formpreneur is not responsible for delay or failure caused by events outside its reasonable control, including government backlog or outage, IRS delay, postal or courier disruption, provider failure, internet or cloud outage, cyberattack, war, sanctions change, civil unrest, natural disaster, epidemic, labor disruption, or power or telecommunications failure. We will take reasonable mitigation steps and communicate material delays where practical.

27. Changes

We may update the Service Documents. We will aim to provide at least 30 days’ notice of a material change where reasonably possible. We may make an immediate change for law, sanctions, security, fraud, emergency provider requirements, or to prevent harm.

A completed Order keeps its accepted price and order-specific scope unless a change is required by law or you approve changed scope. We may require fresh clickwrap for a highly material change.

Features, limits, providers, and future plan structures may change with reasonable notice. We will not remove an already-paid core formation deliverable. If an ongoing invoice feature becomes paid, we will provide reasonable notice and a reasonable export opportunity.

28. Assignment

Formpreneur may assign the Service Documents as part of a merger, acquisition, reorganization, asset sale, or transfer to an affiliate or successor. You may not assign them without our written approval.

29. Governing law and disputes

Ohio law governs the Service Documents without regard to conflict-of-law principles, except that mandatory rights that cannot be waived remain applicable.

Before filing a formal claim, a party must send written notice describing the dispute and requested resolution and allow 30 days for good-faith resolution.

Subject to mandatory law, exclusive venue lies in the state courts located in Stark County, Ohio, or the appropriate federal court serving the Northern District of Ohio.

There is no mandatory arbitration, class-action waiver, jury-trial waiver, or shortened contractual claim period in these Terms. The parties may agree to mediation or arbitration after a dispute arises.

Either party may seek urgent injunctive or equitable relief for unauthorized system access, signature misuse, confidentiality breach, or intellectual-property misuse.

30. Language

English and Turkish are the accepted legal-policy languages when a reviewed version is published. The English version controls if an English and Turkish version conflict, unless mandatory law requires otherwise. Other translations are provided for convenience only.

31. General terms

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue. Failure to enforce a provision is not a waiver. Headings are for convenience. These Terms and the incorporated Service Documents are the entire agreement regarding the Services and replace prior discussions about the same subject.
