Why founders consider Wyoming

Wyoming is a balanced, established option for international online founders. It is not the cheapest Formpreneur state, but it combines a fast estimated state-processing window with a familiar formation jurisdiction and a clearly defined annual report.

Fast estimated state processing

Formpreneur currently estimates 1–3 business days for standard state processing, without guaranteeing the state’s timeline.

Balanced price and recognition

Starter begins at $395 and Managed at $765, above New Mexico but below Florida.

Straightforward annual obligation

Wyoming requires an annual report and license tax; most supported digital founders expect the $60 minimum when they do not hold significant Wyoming assets.

Strong fit for online operators

SaaS founders, developers, agencies and service businesses often value Wyoming’s established online-business familiarity.

Important trade-offs before choosing this state

Wyoming is frequently oversold online with slogans that need qualification.

Federal, home-country, nexus and activity-based tax obligations can still apply.
Privacy is not absolute, and information supplied in filings, banking or compliance processes may be disclosed where legally required.
The annual report and state amount recur every year.
If the business actually operates elsewhere, that state may require registration or tax compliance.

Consider another supported state when

  • The lowest package total and no regular state annual report matter most, compare New Mexico.
  • You have a genuine Florida market or operational reason, compare Florida.
  • You want to select a jurisdiction based only on broad marketing claims rather than your actual business and compliance needs.

What happens after forming in Wyoming

Wyoming requires an annual report, generally due on the first day of the company’s anniversary month. The state amount is at least $60 and may be higher based on Wyoming-located assets. Starter renewal is $199. Managed renewal is $565 and includes the normal on-time $60 amount under the supported profile; asset-based, late or exceptional amounts are separately quoted.

US bank account and Stripe application support

A US company and EIN can be important parts of a business-account or Stripe application, but they do not guarantee approval. Formpreneur helps you prepare the formation documents, banking resolution, EIN records and consistent business description required for an application. The financial provider still performs its own identity, risk, country, industry and activity review. Formpreneur never opens accounts under false information, holds customer funds or acts as a payment processor.

Your company records should not disappear into an email thread

Formation is only the beginning. Formpreneur gives the company owner a workspace for the information and documents that are commonly needed after approval.

  • Formation status and next actions
  • Articles and internal company documents
  • EIN record when received
  • Registered-agent details and eligible mail scans
  • Support-ticket history
  • Managed compliance status and customer deadlines where applicable
  • Cloud invoice features available to eligible Formpreneur customers

Managed covers the first eligible compliance cycle

Managed is designed for the launch profile: one non-US tax-resident natural-person owner, one US single-member company and the default disregarded federal classification. The exact filing requirement always depends on the customer’s facts and timely information.

  • Preparation of one pro forma Form 1120 with Form 5472 when required for the supported profile
  • Applicable standard state annual-report work in the first full compliance cycle
  • Customer review and a fresh signature before submission
  • No Form 1065, personal income-tax return, bookkeeping, payroll, sales tax or bespoke tax planning
  • No guarantee of a tax result, filing acceptance or penalty relief

Frequently asked questions

Eligibility and setting up

In many cases, yes. Formpreneur’s current service is specifically designed for eligible non-US tax residents who will be the sole natural-person owner. Your home-country tax and reporting duties remain separate.

No travel is required for the standard Formpreneur formation workflow. Banks, payment providers or exceptional verification cases may have their own requirements.

Formpreneur’s supported formation and international EIN workflow does not require the eligible customer to obtain an ITIN first. Formpreneur does not provide ITIN applications. An ITIN may still be needed later for a separate personal US federal tax purpose.

Not through the current launch service. Formpreneur accepts one natural-person owner with 100% ownership. Multi-member companies and Form 1065 are not offered at launch.

No. The current paid formation service is for eligible non-US residents. US residents may still use the public free invoice generator.

You provide an alternative name during intake. State authorities make the final availability decision, and Formpreneur will request another option if needed.

Tax number, documents and banking

Yes. Both Starter and Managed include preparation and support for the eligible international EIN application workflow. The IRS controls assignment and timing, so an EIN cannot be guaranteed.

A provider-permitted US business mailing address is included for supported uses, together with first-year registered-agent service. It is not a staffed operating office, personal residence or universal address for every bank, marketplace or directory.

No. Formpreneur helps prepare documents and navigate suitable applications. Each bank, fintech and Stripe performs its own risk, country, industry and identity review and makes the final decision.

A registered agent maintains an address in the formation state and receives official legal or state correspondence for the company. It is a statutory contact role, not a substitute for your own operating location.

Limited eligible mail scanning is included under the provider’s rules. Physical forwarding, courier, postage, customs and handling are separately paid by the customer. Packages, product returns, cash, hazardous items, perishables and personal mail are excluded.

Prices and ongoing responsibilities

Yes, the standard first-year state filing fee for the selected supported state is included. Optional, expedited, later renewal, physical forwarding, customer-caused and exceptional charges are separate and disclosed before charging.

Starter renewal is currently $199 in each supported state. Managed renewal is $499 in New Mexico, $565 in Wyoming and $649 in Florida. The first-year purchase does not automatically enroll you in annual billing.

For the supported eligible profile, Managed includes the first full applicable state and federal compliance cycle, including one pro forma Form 1120 with Form 5472 when required and ordinary state annual-report work where applicable. It does not include bookkeeping, Form 1065 or broad personal tax preparation.
