This Policy explains when a Formpreneur Order can be canceled and what amounts are refundable. It forms part of the Terms of Service.

Government, state, registered-agent, mail, fax, payment, tax, professional, and other third-party costs often become irrevocable before the overall package is complete. Refund eligibility therefore depends on the stage reached.

Nothing in this Policy limits a mandatory right that cannot legally be waived.

1. Requesting cancellation

Send a cancellation request through the available dashboard control or to [email protected]. Include the Account email and Order number.

A request is effective when received, but work or provider commitment that occurred before receipt remains chargeable.

2. Immediate performance

At checkout, you may separately request that Formpreneur begin work immediately. Where mandatory law gives you a cancellation right, you may still owe a proportionate amount for work performed before cancellation, and the right may end after full performance to the extent permitted by law.

3. Formation refund stages

Stage A — before manual review or work begins

If no manual review, document preparation, provider commitment, or third-party cost has begun, Formpreneur will issue a full refund.

A payment-processing cost may be deducted only where lawful and clearly disclosed.

Stage B — after manual review but before provider submission

If Formpreneur completed manual review but has not submitted or committed the Order to a filing or registered-agent provider, the refundable amount is the amount paid less a $49 administrative review fee and any other irrecoverable cost.

Stage C — after submission to the fulfillment provider

After the Order is submitted to the independent filing or registered-agent provider:

  • Formpreneur’s formation-service fee is non-refundable
  • Provider charges already paid or committed are non-refundable; and
  • State and government fees already paid or committed are non-refundable.

Stage D — after state filing submission

After a filing is submitted to the state, formation charges are non-refundable, except for an uncorrected Formpreneur-caused failure as described below.

4. Name rejection

If the first name is unavailable or rejected, Formpreneur may submit an approved alternative or request another name.

A name rejection does not automatically create a full refund. If no acceptable name can be supplied, the refund depends on the stage reached and costs already committed.

5. Filing errors and rejection

  • Formpreneur error: Formpreneur will correct and refile at its cost where reasonably possible.
  • Provider error: Formpreneur will coordinate correction and avoid another customer charge where the cost is recoverable.
  • Customer error or changed instruction: The customer pays resulting correction, amendment, refiling, provider, government, fax, courier, and professional costs.
  • State discretion or changed requirement: Formpreneur will handle the matter reasonably based on available alternatives and recoverable costs.

If Formpreneur caused a material failure and cannot reasonably correct or deliver the affected Service, Formpreneur will refund the unperformed Formpreneur service component. Government or third-party fees that cannot be recovered may remain non-refundable, except where mandatory law requires otherwise.

6. Eligibility, sanctions, fraud, and misrepresentation

If Formpreneur rejects an Order before spending or committing funds, it will refund unspent amounts.

Formpreneur may deduct irrecoverable costs and may reduce or deny a refund to the extent actual loss resulted from fraud, sanctions violations, material misrepresentation, unauthorized action, chargeback abuse, or an illegal purpose.

7. Government and provider delays

Delay by a state, the IRS, a registered-agent provider, Stripe, WestFax, Cloudflare, a mail or courier provider, a bank, a payment processor, or another external system does not by itself create a refund right.

If a Service ultimately cannot be delivered and no reasonable alternative exists, Formpreneur will determine the refundable unperformed component after deducting irrecoverable costs.

8. EIN service

After Form SS-4 has been prepared and transmitted, no refund is due merely because:

  • The IRS is delayed
  • The IRS requests more information
  • The customer submitted a duplicate application
  • The customer supplied incorrect information
  • A bank or payment processor rejects the EIN documentation; or
  • The customer later decides an EIN is unnecessary.

Technical fax retries and Formpreneur-caused corrections remain included as described in the Formation Addendum.

9. Registered-agent and mail renewals

The first-year formation purchase does not auto-renew.

A later renewal may become non-refundable once Formpreneur commits the renewal to the provider or pays a government fee. Canceling a subscription prevents a future charge but does not automatically reverse a renewal already purchased or committed.

Where a recurring renewal charge was made contrary to a timely valid cancellation, Formpreneur will correct it.

10. Managed tax component

The standard tax-service component is allocated at $300.

  • Before tax intake or substantive review begins, it may be canceled and refunded.
  • Once the customer submits the annual tax questionnaire or Formpreneur begins substantive review, classification, or return preparation, it is normally non-refundable.
  • If Formpreneur cannot perform the included standard tax Service for a reason not caused by the customer, Formpreneur will refund the unperformed portion up to $300.
  • Customer lateness, missing or disorganized records, changed eligibility, excluded complexity, failure to review or sign, or a decision not to proceed does not create a guaranteed refund after work begins.
  • An IRS delay, request, rejection, or penalty does not by itself create a refund right.

11. Annual-report work

Normal on-time state fees included in a Managed renewal are non-refundable once paid or committed. Late, expedited, variable, reinstatement, amendment, and customer-caused fees are separately approved and non-refundable once committed.

12. Free Services

The Free Invoice Generator is free. No refund applies.

13. Chargebacks

Contact Formpreneur before filing a chargeback so we can investigate. An unjustified chargeback does not expand refund rights. Formpreneur may submit acceptance records, work records, provider commitments, delivery records, and communications to contest it.

14. Refund timing

Approved refunds are initiated within 14 business days after approval. The customer’s bank, card issuer, and payment network control final posting time and currency conversion.

Refunds ordinarily return to the original payment method unless law or payment-provider rules require another method.

15. No general satisfaction guarantee

Formpreneur does not offer a general money-back or satisfaction guarantee. Refunds are determined objectively under this stage-based Policy.
