This Addendum applies to the UK Registered Office Address and the UK Director Service Address, whether you buy them inside a formation package or on their own for a company you already own. It forms part of the Terms of Service.
Read it with the UK Identity Verification and Provider Disclosure, because neither address becomes usable until a provider has verified you.
This document was drafted from Formpreneur's internal product requirements and is pending external legal review. Nothing in it limits a mandatory right that cannot legally be waived.
1. Two different addresses, two different purposes
These are separate statutory addresses with separate legal functions. Buying one does not give you the other.
| Service | What it is for |
|---|---|
| Registered Office Address | The company's official address on the public register. Where Companies House, HM Revenue & Customs and the courts send correspondence to the company. |
| Director Service Address | The address a director gives publicly instead of their home address. Where correspondence for the director personally is sent. |
The Statutory Address Bundle covers both for one company and one director. If you need an address for a second director, that is a second Director Service Address.
2. Statutory correspondence only — what this is not
Each address covers statutory correspondence: mail from Companies House, HM Revenue & Customs, other UK government bodies, and the courts.
It is not, and must not be presented or used as:
- a trading address, business premises, office or place you or anyone else may attend;
- a bank branch, or an address for opening or verifying a bank or payment account where the provider requires a place of business;
- a parcel, courier or goods delivery address;
- a general mailbox or mail-forwarding service for commercial post;
- a residential address, or evidence of residence in the United Kingdom;
- a location for storing anything, or for receiving visitors, clients or inspections.
Using the address in any of those ways is misuse and is a ground for immediate termination under section 9. Parcels, couriered goods and commercial post will be refused or returned, and the provider is not obliged to hold or forward them.
3. When the service starts — and it is not when you pay
Paying for an address does not activate it. The service begins only when the provider has completed identity verification and approved you, and the provider decides when that is.
Until you receive our confirmation that the address is active, you must not:
- file the address at Companies House or with any other body;
- put it on a website, invoice, contract, letterhead or bank application;
- give it to anyone as the company's or the director's address.
Using an address before activation means correspondence may be refused, returned or lost, and any consequence of that is yours. We give no date for activation, because it depends on how quickly you complete verification and on the provider's own processing.
For an address bought on its own for a company you already own, the twelve-month term runs from the provider's activation date, not from your payment date.
4. Buying an address for a company you already own
Where the Order is for a company that already exists, you declare that you are a director of that company or a person that company has authorised to act for it, and that the company number, name and incorporation date you give match the public register.
If you are acting as an authorised agent rather than as a director, we will review the Order by hand before placing it with the provider. That review is part of the service, not an extra charge.
A company number may only be attached to one Formpreneur account. If the number you give is already held by another account, we will refuse the Order and ask you to contact us so that we can establish who is entitled to it. We will not move a company between accounts on an unverified request.
Changing your company's registered office at Companies House is a filing. At checkout you tell us whether you authorise Formpreneur to make that filing for you or whether you will make it yourself. If you choose to file it yourself, the address is not effective on the register until you do, and any consequence of not doing it is yours.
5. How statutory mail is handled
Statutory correspondence received at the address is opened, scanned and made available to you in your Formpreneur dashboard. That is the delivery method for this service.
The provider sets the rules that actually govern the physical item, including how long it is retained and whether it can be forwarded. Those rules override any expectation set elsewhere. In general:
- items are retained for a limited period and then destroyed;
- physical forwarding of an item to you is not included and, where offered at all, is charged separately at the provider's rate plus postage;
- items that are not statutory correspondence may be refused or returned to sender;
- the provider is not a courier and accepts no liability for items lost in transit to it.
You must keep your contact details and, if you use forwarding, your forwarding address current in your dashboard. Mail we cannot deliver because your details are out of date is your loss, not a service failure.
6. Renewal — the address stops if you do not renew
Each address service is sold for twelve months from activation. It does not renew automatically unless you have separately agreed to that at checkout.
We will tell you before the term ends. If you do not renew, the service stops on the expiry date. When it stops:
- correspondence sent to the address is refused or returned to sender;
- the provider stops scanning and forwarding;
- nothing further is added to your dashboard, though what is already there remains available to you.
A lapsed registered office is a live compliance problem, not just an inconvenience: Companies House requires every company to have an effective registered office and may act where correspondence cannot be delivered.
7. When the service ends, you must change the register
When an address service ends for any reason — expiry, your cancellation, or termination by us or the provider — you must promptly file a change of address at Companies House and stop using the address everywhere else.
This is your obligation and it does not lapse because the service did. Continuing to show an address you no longer hold is a misrepresentation to the register and to anyone relying on it.
Where you fail to change it, Formpreneur and the provider may notify Companies House that the address is no longer authorised for your company, and may recover from you any cost caused by continued use.
8. Cancellation and refunds
Address services are refunded by stage, on the same principle as formation but with a schedule of their own, because no filing and no government fee is involved:
| Stage reached | What is refundable |
|---|---|
| Before we place the order with the provider | Everything you paid. No administrative review fee applies to an address service. |
| After we place the provider order, before or during verification | The recoverable balance, after the provider's actual nonrecoverable cost and any payment cost. |
| After the address is active | The recoverable balance for the unused part of the term, after the provider's committed cost for the term. |
The $49 administrative review fee that applies to formation Orders is not charged on an address service at any stage.
There is no refund solely because a bank, payment provider or other third party would not accept the address, because you decided not to trade, or because you did not complete verification.
9. Termination for misuse, nonpayment or compliance
Formpreneur or the provider may suspend or terminate an address service immediately, without a cure period, where:
- the address is used in any way section 2 prohibits;
- the company or the director is used for an activity that is unlawful, sanctioned, or within a category we do not serve;
- information you gave about the company, the director or your authority proves untrue;
- the volume or nature of correspondence indicates trading from the address or a use the provider will not carry;
- payment fails and is not resolved after notice;
- a sanctions, anti-money-laundering or provider compliance rule requires it.
On termination for any of those reasons, section 7 still applies: you must change the register. Refunds follow section 8, and no amount becomes refundable because the termination was for cause.
10. Questions about this Addendum
Write to [email protected] with your account email, company number and Order number.
Do not send identity documents to that address or to any Formpreneur support channel. Identity evidence goes directly to the verification provider.
