Zusatzvereinbarung zu Gründungsleistungen im Vereinigten Königreich
Zuletzt aktualisiert: 15. Juli 2026: August 1, 2026
Version: 1.0
Effective date: August 1, 2026
This Addendum applies when you order a UK private company limited by shares through Formpreneur. It forms part of the Terms of Service and adds to them; where this Addendum and the Terms of Service conflict on a UK formation matter, this Addendum governs.
Two further documents apply to every UK formation Order and should be read with this one: the UK Identity Verification and Provider Disclosure and, where a statutory address is included, the UK Registered Office and Director Service Address Addendum.
This document was drafted from Formpreneur's internal product requirements and is pending external legal review. Nothing in it limits a mandatory right that cannot legally be waived.
1. Who you contract with
Formpreneur is your contracting formation platform. You place one Order with Formpreneur and pay Formpreneur.
Independent United Kingdom providers perform the regulated and operational work behind that Order: company formation and filing at Companies House, identity verification, statutory addresses, and statutory mail processing. Formpreneur selects, instructs and pays those providers; you do not choose them and you do not pay them separately unless this Addendum says otherwise.
You may be required to accept a provider's own terms directly, and to do so before that provider will begin. Where that happens, Formpreneur will tell you which provider and show you the terms and version presented to you at checkout.
Formpreneur is not a law firm, an accountancy firm, a regulated financial institution, a company secretary in the statutory sense, or any part of Companies House, HM Revenue & Customs or any other government body. Nothing Formpreneur provides is legal, tax or accountancy advice.
3. The structure we support
Formpreneur's UK formation service is deliberately narrow. At launch we form only:
- a private company limited by shares;
- registered in England and Wales;
- with one natural person who is the sole director, sole shareholder and sole person with significant control;
- with model articles of association, unamended;
- with a single ordinary share of £1, fully paid.
We do not form public companies, companies limited by guarantee, limited liability partnerships, community interest companies, charities, companies with corporate officers or corporate shareholders, or companies with more than one member. We do not amend articles, create share classes, or file for companies registered in Scotland or Northern Ireland.
If your intended structure is outside this list, we cannot deliver it and you should not place the Order. If you place it anyway and the structure turns out to be unsupported, we will cancel and refund under the stage that applies at the time we find out.
4. What you approve, and what that means
You are responsible for the substance of the filing. Before submission you approve:
- the company name and, where you give them, your alternative names in order of preference;
- the SIC codes describing the company's activity;
- the director's, shareholder's and person-with-significant-control's details, including full date of birth and residential address;
- the share structure and the registered company email address.
Formpreneur may propose SIC codes based on the business description you give us, and our staff assign the codes that are actually filed. You remain responsible for confirming that they describe your business. A wrong SIC code is not a filing error we will refile without charge.
Once a filing is submitted, changing any of the above is a new filing at Companies House with its own fee and timing, not a correction of ours.
5. Company names and who decides
Companies House decides whether a name may be registered. Provider checks and our own checks are indicative only and are not an approval, a reservation or a trade-mark clearance.
A name may be refused because it is the same as or too like an existing name, because it contains a sensitive or restricted word requiring approval we have not sought, or for any other reason the Registrar applies.
If your first choice is refused and you gave alternatives, we will file the next alternative without an additional Formpreneur service fee. A name refusal where an alternative can be filed is not a ground for refund. If you gave no alternative that can be filed, we will ask you for one; while we wait, your Order is paused.
Trade-mark rights are separate from company registration. Registering a company name gives you no trade-mark protection and no defence against an existing rights holder.
6. Timing, and what we do not promise
Companies House and our providers control whether and when your company is incorporated. Any duration Formpreneur shows you is an expectation drawn from typical processing, not a commitment.
We do not guarantee, and are not liable for delay in:
- incorporation itself, or the date it takes effect;
- the arrival of the company's Unique Taxpayer Reference (UTR) from HM Revenue & Customs;
- the arrival of the Companies House authentication code;
- any identity-verification decision a provider makes;
- any statutory address becoming active, which depends on provider approval.
The UTR and the authentication code are issued by HM Revenue & Customs and Companies House on their own schedule, by post, to the company. Where we receive them we record them for you in encrypted form; where they are delayed or lost in the post, the remedy is a request to the issuing body, not a refund from us.
7. No banking or payment-account guarantee
A UK company is a legal entity. It is not a bank account and it is not a payment account.
Formpreneur does not open, apply for, introduce, broker or guarantee any bank account, electronic-money account, payment-service account or merchant account, including with any specific provider. Whether a bank or payment provider accepts your company is entirely their decision, made under their own onboarding, sanctions and risk rules.
Where our funnel shows an indication of which providers founders in your country of residence have historically been able to apply to, that is information, not a route we control and not a promise of acceptance. Rejection by any bank or payment provider is not a ground for refund.
8. Cancellation and refunds
UK formation Orders are refunded by stage, because provider and government costs become irrecoverable at different points. The stages, and the amounts, are set out in the Refund and Cancellation Policy and summarised here:
| Stage reached | What is refundable |
|---|---|
| Before our manual review begins | Everything you paid. |
| After our review, before any provider order | Everything you paid, less an approved $49 administrative review fee. |
| After a provider order or identity-verification request | The recoverable balance, after actual nonrecoverable provider, verification and payment costs. |
| After submission to Companies House | The recoverable balance. The government fee and completed or committed service work are not refundable. |
At checkout you separately ask us to begin immediately. Where mandatory law gives you a cancellation right, that request means you may still owe a proportionate amount for work performed before you cancel, and the right may end once the service has been fully performed, to the extent the law allows.
Where Formpreneur or a provider makes an error, we correct or refile without an additional Formpreneur service fee where that is reasonably possible; where the service cannot be delivered at all, we refund the unperformed amount.
Where the cause is your own error, inactivity, failed verification, a sanctions outcome or information that proves untrue, you pay the correction cost and only the recoverable balance is refundable.
9. What becomes public
Companies House operates a public register. Once your company is incorporated, some of what you give us becomes searchable by anyone, free of charge, and is republished by third parties we do not control.
Expect the following to be public:
- the company name, number, registered office address and incorporation date;
- the director's name, nationality, occupation, country of residence and month and year of birth;
- the director's service address — which is why we provide one;
- the shareholder's name and the share structure;
- the SIC codes filed.
Companies House also requires information it does not publish, including the director's full date of birth and residential address. Those are held on the non-public part of the register under statutory rules.
Because a registration cannot be undone once made, you must affirm before payment that you understand what becomes public. Formpreneur cannot remove information from the register, and cannot remove copies that third parties have already taken.
10. After incorporation — what remains yours
Incorporation is the beginning of the company's obligations, not the end. Unless a specific service you have bought says otherwise, the following remain entirely your responsibility:
- filing the annual confirmation statement;
- preparing and filing annual accounts;
- registering for and filing corporation tax, VAT, PAYE or any other tax;
- keeping the register of members and other statutory registers;
- notifying Companies House of any change of officer, address, name or share structure;
- any licence or regulatory permission your activity needs.
Formpreneur may show you upcoming statutory deadlines as a convenience. Those reminders are informational. They are not a filing service, they are not a guarantee that a deadline is correct or complete, and missing one remains your responsibility and your penalty.
11. Screening, refusal and termination
Formpreneur and its providers reserve the right to screen you, the director, the shareholder, the person with significant control, the proposed company name, the addresses given and the payment used, at any point before or after the Order.
We may refuse, pause or end an Order, and a provider may refuse to act, where sanctions, export-control, anti-money-laundering, counter-terrorist-financing or provider rules require it, where the activity falls within a category we do not serve, or where information given proves untrue.
Where we may lawfully tell you why, we will. Where we may not, we will say only that we cannot proceed. A refusal on these grounds is handled under the refund stage reached, and no Formpreneur service fee for work already performed becomes refundable because of it.
12. Questions about this Addendum
Write to [email protected] with your account email and Order number.
Do not send identity documents, passport scans or selfies to that address or to any Formpreneur support channel. Identity evidence goes directly to the verification provider — see the UK Identity Verification and Provider Disclosure.
